General Promotions Terms and Conditions
1. PROMOTIONS:
From time to time, NorthStar Gaming (Ontario) Inc. (“ NorthStar”) may offer promotional incentives through its NorthStar Bets platform (each, a “Promotion”). Each Promotion will be governed by: (i) these Terms and Conditions (the “ Terms”); and (ii) the terms and conditions outlined on the term sheet associated with the applicable Promotion (each, a “ Term Sheet”). Each Term Sheet will include certain information that is relevant to the applicable Promotion – and may include, but is not limited to, details outlining: (i) key dates and times; (ii) eligibility requirements; (iii) how to participate; (iv) reward(s); and (v) other restrictions, limitations, exclusions or conditions. In the event of a conflict between these Terms and the terms and conditions of a Term Sheet, the terms and conditions set forth in the applicable Term Sheet shall prevail, govern and control to the extent necessary to resolve the conflict. Promotions are valid in Ontario only and otherwise void where prohibited or restricted by law.
2. KEY DATES AND TIMES:

3. ELIGIBILITY TO PARTICIPATE:
Each Promotion is open only to individuals who: (i) are residents of Ontario; and (ii) nineteen (19) years of age or older at the time of participation. Eligibility to participate in any Promotion(s) will be determined and confirmed by NorthStar in its sole and absolute discretion. For additional eligibility requirements that may be associated with a particular Promotion, please see the applicable Term Sheet.
4. AGREEMENT TO BE LEGALLY BOUND BY TERMS:
By participating in a Promotion, each eligible participant is signifying their agreement that they have read and agree to be legally bound by the terms and conditions of: (i) these Terms; and (ii) the applicable Term Sheet.
5. HOW TO PARTICIPATE:
To participate in a promotion, follow the instructions in the applicable Term Sheet. To be eligible, you must participate in strict accordance with these Terms and the applicable Term Sheet (as determined and confirmed by NorthStar in its sole and absolute discretion). Standard data rates apply to participants who choose to participate in a Promotion via a mobile device. Please contact your service provider for pricing and service plan information and rates before mobile device participation.
6. PARTICIPATION CONDITIONS:
If it is discovered by NorthStar (using any evidence or other information made available to or otherwise discovered by NorthStar) that any person has attempted to use multiple names, multiple identities, any automated, macro, script, robotic or other system(s) or program(s), and/or any other means not in keeping with NorthStar’s interpretation of the letter and spirit of these Terms and/or the applicable Term Sheet to participate in or to disrupt a Promotion; then they may be disqualified from the applicable Promotion (and, in NorthStar’s sole and absolute discretion, any or all other Promotions – including, but not limited to, future Promotions) in the sole and absolute discretion of NorthStar.
NorthStar, its affiliated entities, reward suppliers, advertising/promotion agencies and any other individual(s), entity or entities involved in the development, production, implementation, administration or fulfillment of the applicable Promotion (collectively with NorthStar, the “ Promotion Parties”) and each of their respective agents, employees, directors, successors, and assigns (collectively, the “ Released Parties”) are not responsible for, and accept no liability whatsoever in relation to, any late, lost, misdirected, delayed, incomplete or incompatible information (all of which is void). If at any time a participant wishes to withdraw from a Promotion, the request must be made in writing to NorthStar at support@northstarbets.ca
7. VERIFICATION:
All participants are subject to verification at any time and for any reason. NorthStar reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to NorthStar – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in a Promotion; (ii) for the purposes of verifying the eligibility and/or legitimacy of any information entered (or purportedly entered) for the purposes of a Promotion; and/or (iii) for any other reason NorthStar deems necessary, in its sole and absolute discretion, for the purposes of administering a Promotion in accordance with NorthStar’s interpretation of the letter and spirit of these Terms and the applicable Term Sheet. Failure to provide such proof to the complete satisfaction of NorthStar within the timeline specified by NorthStar may result in disqualification in the sole and absolute discretion of NorthStar. The sole determinant of the time for the purposes of a Promotion will be the official time-keeping device(s) of NorthStar.
8. REWARD(S):
For details on the reward or rewards (the “Reward(s)”) available in relation to a Promotion, please see the applicable Term Sheet.
IMPORTANT NOTE: ANY AND ALL OTHER COSTS ASSOCIATED WITH UTILIZING A REWARD WILL BE THE SOLE AND ABSOLUTE RESPONSIBILITY OF THE PARTICIPANT. NONE OF THE RELEASED PARTIES, NOR ANY OTHER ENTITY, WILL BE PROVIDING ANY COMPENSATION WHATSOEVER WITH RESPECT TO ANY COSTS ASSOCIATED WITH UTILIZING A REWARD OR OTHERWISE.
Reward must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by NorthStar in its sole and absolute discretion). No substitutions are permitted, except at NorthStar’s option. NorthStar reserves the right, in its sole and absolute discretion, to substitute a Reward or a component thereof with a reward of equal or greater retail value.

To the fullest extent permitted by applicable law, none of the Released Parties makes any representation or offers any warranty, express or implied, as to the quality or fitness of any Reward awarded in connection with a Promotion. To the fullest extent permitted by applicable law, a Reward recipient understands and acknowledges that they may not seek reimbursement or pursue any legal or equitable remedy from either NorthStar or any of the other Released Parties should their Reward fail to be fit for its purpose or is in any way unsatisfactory.
9. REWARD RECIPIENT CONFIRMATION PROCESS:
NO ONE IS A REWARD RECIPIENT UNLESS AND UNTIL NORTHSTAR OFFICIALLY CONFIRMS THEM AS A REWARD RECIPIENT IN ACCORDANCE WITH THESE TERMS AND THE APPLICABLE TERMS SHEET.
By participating in a Promotion and accepting a Reward, each Reward recipient hereby: (i) confirms compliance with these Terms and the applicable Term Sheet; (ii) acknowledges acceptance of the applicable Reward (as awarded); and (iii) releases NorthStar and all of the other Released Parties from any and all liability in connection with the applicable Promotion, their participation therein and/or the awarding and use/misuse of the applicable Reward or any portion thereof.
If an eligible Reward recipient is determined to be in violation of these Terms and/or the applicable Term Sheet (all as determined by NorthStar in its sole and absolute discretion); then they will be disqualified (and will forfeit all rights to the applicable Reward).
10. GENERAL CONDITIONS:
Each Promotion is subject to all applicable laws. The decisions of NorthStar with respect to all aspects of each Promotion are final and binding on all participants without right of appeal. ANYONE DEEMED BY NORTHSTAR TO BE IN VIOLATION OF NORTHSTAR’S INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE TERMS AND/OR A TERM SHEET FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF NORTHSTAR AT ANY TIME.
NorthStar and the other Released Parties will not be liable for: (i) any failure of any website or any platform during a Promotion; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an participant’s or any other person’s computer or other device related to or resulting from participating in a Promotion; (v) anyone being incorrectly and/or mistakenly identified as a Reward recipient or eligible Reward recipient; and/or (vi) any combination of the above.
NorthStar reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend a Promotion (or to amend these Terms and/or a Term Sheet) in any way, in the event of any cause beyond the reasonable control of NorthStar that interferes with the proper conduct of a Promotion as contemplated by these Terms and/or the applicable Term Sheet, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever.
Any attempt to undermine the legitimate operation of a Promotion in any way (as determined by NorthStar in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, NorthStar reserves the right to seek remedies and damages to the fullest extent permitted by law. NorthStar reserves the right, in its sole and absolute discretion, to cancel, amend or suspend a Promotion, or to amend these Terms and/or the applicable Term Sheet, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever.
By participating in a Promotion, each participant expressly consents to NorthStar, its agents and/or representatives, storing, sharing and using the personal information submitted only for the purpose of administering the applicable Promotion and in accordance with NorthStar’s privacy policy ( https://northstargaming.ca/privacy ). This section does not limit any other consent(s) that an individual may provide NorthStar or others in relation to the collection, use and/or disclosure of their personal information.
NorthStar reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other mechanics stipulated in these Terms and/or the applicable Term Sheet, to the extent deemed necessary by NorthStar, for purposes of verifying compliance by any participant and/or other information with these Terms and/or the applicable Term Sheet, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of NorthStar, in its sole and absolute discretion, affect the proper administration of the applicable Promotion as contemplated in these Terms and/or the applicable Term Sheet, or for any other reason.
The invalidity or unenforceability of any provision of these Terms and/or the applicable Term Sheet shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms and/or the applicable Term Sheet shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.
To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and/or the applicable Term Sheet or the rights and obligations of participants, NorthStar or any of the other the Released Parties in connection with a Promotion will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein.
